By-law Vote – Updating our General By-law

We’re making some changes to Kindred’s General By-law and we’ll be holding a vote on these revisions. The proposed changes include: 

  • changing the name of the Board of Director’s Executive Committee to the Governance Committee; 
  • giving the Board added flexibility by changing the maximum term length for directors and introducing a minimum and maximum number of directors to ensure continuity of governance should there be an unexpected departure from the Board; 
  • clarifying and simplifying the language around Committees of Directors while providing the Board latitude to establish the appropriate number of committees; and 
  • embedding our commitment to operating as a Certified B Corp into our General By-law.
